On July 31, 2014, Andrews & Springer LLC and Milberg LLP filed a class action lawsuit against Family Dollar Stores, Inc. (the "Company") and its board of directors alleging breaches of fiduciary duty in connection with the merger of the Company with Dollar Tree Inc. The complaint, which was filed in the Delaware Court of Chancery, alleges among other things, that the consideration shareholders are expected to receive is inadequate in light of several analysts setting price targets for Family Dollar Stores higher than the consideration shareholders are expected to receive. The lawsuit also challenges the Company’s decision to adopt a Stockholder Rights Agreement in response to activist investor Carl Icahn’s announcement that he owned 9.4% of Family Dollar Stores and advocated for a sale of the Company.
